All client services are governed exclusively by a separate written agreement (including but not limited to a Master Services Agreement, Managed Services Agreement, or Statement of Work). In the event of a conflict between these Terms and a signed client agreement, the signed agreement controls.
05Cybersecurity & Technology Limitation of Liability
You acknowledge and agree that no IT system or cybersecurity solution can guarantee complete security. Even industry best practices, layered defenses, monitoring tools, and compliance frameworks cannot eliminate all risks. TechSage Solutions does not warrant or guarantee prevention of all cyber incidents, data breaches, ransomware attacks, business interruption, or data loss.
TechSage Solutions shall not be liable for:
- Cyberattacks or unauthorized access by third parties
- Client failure to follow recommended security practices
- Failures caused by third-party software, vendors, ISPs, or cloud providers
- Business interruption resulting from events outside our reasonable control
06Third-Party Software and Services
Our services may involve third-party products or platforms, including but not limited to cloud providers, cybersecurity tools, VoIP systems, backup vendors, and software manufacturers. TechSage Solutions does not control third-party services, is not responsible for their performance or availability, and makes no warranties regarding third-party products. Use of third-party services is subject to those providers' own terms and policies.
